GlobalAuto (GA) – iEagle Invest AS
Vehicle Export Agency & Commissionaire Services

1. Parties

These Terms and Conditions (“Terms”) govern all services provided by:

iEagle Invest AS
Norway
Trading as GlobalAuto (GA)
(“GA”)

to the customer (“Customer”).

2. Scope of Services

GA provides vehicle sourcing, purchasing, export facilitation, and related services from Norway to international customers.

GA does not maintain inventory and acts exclusively as:

  • agent on behalf of Customer, and/or
  • commissionaire acting in its own name for Customer’s account

depending on transaction structure.

GA may assist with:

  • locating and evaluating vehicles
  • purchasing vehicles
  • temporary ownership
  • export documentation
  • transport arrangement
  • tax/VAT reimbursement processes
  • coordination with foreign agents

GA normally does not provide import services in destination country but may refer to third-party agents.

3. Transaction Models

3.1 Direct Purchase Model

Customer purchases vehicle directly from seller. GA acts only as agent and facilitator.

3.2 Commissionaire Model

GA purchases and holds vehicle in its own name on behalf of Customer. GA acts as temporary legal owner solely for export and transaction purposes.

GA may choose structure at its discretion based on legal, financial, or operational considerations.

4. Fees and Payment

GA charges service fees according to its price list, consisting of fixed and/or variable components.

4.1 Prepayment

All GA fees, vehicle purchase funds, insurance, taxes, and estimated costs must be paid in full before GA executes any purchase or export transaction.

No vehicle purchase, export, or ownership transfer will occur until payment is received.

4.2 Earned Fees

GA service fees are deemed earned upon execution of vehicle purchase or commitment to transaction on Customer’s behalf and are non-refundable.

5. Costs and Administration Fee

All third-party costs incurred by GA on behalf of Customer are payable by Customer.

Such costs include but are not limited to:

  • vehicle purchase price
  • insurance
  • registration
  • storage
  • transport
  • government charges
  • inspection
  • documentation
  • logistics

GA invoices these at:
actual cost + 10% administration fee

6. Insurance and Risk

6.1 Customer Responsibility

Vehicle must be insured at all times from purchase until final delivery.

Insurance may be arranged by:

  • Customer, or
  • GA on Customer’s behalf

6.2 GA Ownership Period

If vehicle is held in GA ownership, GA will arrange insurance. All insurance premiums and related costs are charged to Customer under Section 5.

6.3 Transport Risk

All transport risk remains with Customer. GA is not liable for loss or damage during transport, storage, or handling by third parties.

7. GA Liability Limitation

GA acts as intermediary and shall not be liable for:

  • vehicle condition
  • hidden defects
  • seller misrepresentation
  • transport damage
  • delays
  • third-party actions
  • import issues in destination country

GA total liability is strictly limited to the amount of GA service fees paid by Customer.

GA shall not be liable for indirect or consequential losses.

8. Export Ownership and Tax/VAT Reimbursement

Certain vehicles exported from Norway may qualify for governmental tax or VAT reimbursement.

8.1 Exporter Role

The legal exporter may be:

  • GA, or
  • Customer

depending on transaction structure.

8.2 Refund Handling

If GA is legal exporter:

  • GA receives reimbursement from authorities
  • GA transfers funds to Customer after receipt
  • GA charges service fee per price list

If Customer is exporter, GA may assist administratively for a fee.

Reimbursement timelines depend solely on government authorities and are outside GA control.

9. Storage

Customer must arrange export or onward transport promptly after vehicle readiness.

Storage is free for 4 calendar days after notification of readiness.

After this period storage is charged per day at GA price list rates plus applicable costs.

10. Customer Default

If Customer fails to:

  • arrange transport
  • complete export
  • provide required documents
  • pay remaining costs
  • fulfill obligations

GA may, after reasonable notice:

  • retain vehicle
  • store vehicle at Customer cost
  • sell vehicle on open market

After sale Customer receives net proceeds: sale price minus all GA costs, fees per GA price list, storage, and expenses.

If sale proceeds do not cover costs Customer remains liable for balance.

11. Countries Served

GA provides services worldwide except where sanctions apply, export restrictions exist, logistics unavailable, or risk unacceptable. GA may refuse service at its discretion.

12. Third-Party Services

GA may engage transport companies, agents, brokers, inspectors, and storage providers. Such parties act independently. GA bears no liability for their performance.

13. Vehicle Condition

All vehicles are sold as-is, where-is. GA provides no warranty unless explicitly agreed in writing.

14. Compliance

Customer is responsible for compliance with import laws, registration rules, taxes, homologation, and local regulations in destination country.

15. Governing Law and Jurisdiction

These Terms are governed by the laws of Norway. Any dispute shall be subject to the exclusive jurisdiction of Norwegian courts.

16. Acceptance

These Terms apply to all GA services and are deemed accepted upon payment to GA, written instruction to proceed, signing of agreement, or acceptance of pro-forma invoice.
